Terms of Use for PlayAcademy

01 ABOUT THIS AGREEMENT

1.1 Acceptance of Agreement
Please read this entire document (“Agreement” or “Terms”). It constitutes a contract between you and PlayGround Technologies, Inc. (“PlayGround” or “us”). Access to and usage of the PlayAcademy website (“Website”) and related services (collectively, the “Services”) are conditional upon your acceptance of this Agreement. By creating a PlayAcademy account (“Account”), using the Services, or continuing to use the Services after being notified of changes to these Terms, you agree to be bound by this Agreement. If you do not accept these Terms, you will not be able to create an Account or access the Services.

1.2 Arbitration and Class Action Waiver
Please review the binding arbitration clause and class action waiver in Section 9. These clauses affect how disputes between you and PlayGround (including its current or former affiliates, parents, or subsidiaries) are resolved and inform you of your rights to opt-out.

1.3 Minimum Age Requirement
To accept these Terms and create an Account, you must be at least 18 years old and have reached the legal age of majority in your country. If you are between 13 and 18 years old, your parent or legal guardian must create an Account for you and agree to these Terms on your behalf. Users under the age of 13 are not permitted to use our Services, even with parental consent.

1.4 Additional Terms
We may require you to agree to additional terms or policies (“Usage Terms”) to access certain services or products. By accessing these services or products, you agree that the applicable Usage Terms become part of this Agreement.

1.5 Tournaments
All Tournaments offered on the Website are games of skill. Winners are determined based on user performance and rankings at the end of the Tournament. There is no external bias affecting the outcome unless specified in the Tournament Rules. Users must follow the Tournament Rules and respect PlayGround’s decisions in declaring winners. The Website and Tournaments cannot be used for illicit gambling, including wagering or betting on outcomes.

1.6 Affirmation of Terms
By accepting this Agreement, you confirm that you: (a) are at least 18 years old or the parent/legal guardian of a minor between 13 and 18; (b) have read and agree to these Terms; and (c) have reviewed and consent to the PlayGround Privacy Policy.

1.7 Breach of Agreement
Violation of this Agreement may result in the temporary or permanent suspension of your Account and loss of access to its content.

02 THIRD-PARTY SERVICES ON PLAYGROUND

2.1 Access to Third-Party Services
We may provide access to content, products, or services offered by entities other than PlayGround and its affiliates (“Third-Party Services”). When using the Services to access Third-Party Services, this Agreement and any applicable Usage Terms will govern your use.

2.2 PlayGround Content
“PlayGround Content” includes games, videos, music, services, virtual currency, virtual communities, and other digital products. Some content and features may not be available in your country or language. Additional purchases may be required for certain content or features.

2.3 Third-Party Services Endorsement
PlayGround does not endorse Third-Party Services marketed on the Services. These services may require you to accept additional terms and conditions.

03 ACCOUNT CREATION, USAGE, AND SECURITY

3.1 Accuracy of Information
All information provided during Account creation and usage must be accurate. We reserve the right to suspend, terminate, or restrict any Account using false information.

3.2 Single Account Policy
You may create only one account per person. If we find multiple accounts per person, we reserve the right to suspend or terminate any or all accounts and revoke any prizes.

3.3 Country of Residence
You must select your country of residence during Account creation. Once set, you cannot change the country or region code associated with your Account.

3.4 Account Security
Users must protect their Account sign-in ID, password, and other authentication information to prevent unauthorized access. We are not liable for unauthorized usage of any Account.

3.5 Compromised Accounts
If we suspect your Account has been compromised, we may take protective actions, such as resetting passwords, canceling subscriptions, or suspending Accounts.

3.6 Account Creation Denial
PlayGround reserves the right to deny Account creation for any reason.

3.7 Identification Documentation
We may request identification documentation during or after Account creation. If you do not provide such documentation, we reserve the right to suspend, terminate, or restrict your Account.

3.8 Payments and Purchases
PlayGround does not charge for Account registration. However, payments may be required for certain Services. You are solely responsible for all charges associated with your Account. PlayGround is not liable for any costs incurred for third-party expenses related to transactions on the Services.

04 CODE OF CONDUCT

To ensure a positive experience for all users, it is essential to respect others and refrain from misuse of the Services. By creating an Account, you agree to follow these rules (“Code of Conduct”):

• Inclusivity: Do not engage in hateful speech or actions. Do not threaten, harm, or alarm others. Do not bully, harass, or stalk anyone.
• Legal Compliance: Do not engage in vulgar or offensive behavior. Do not encourage self-harm or harm to others. Do not perform or promote illegal activities. Do not impersonate others. Respect privacy and intellectual property.
• Kindness: Help others and create a welcoming environment.
• Respectfulness: Disagree respectfully and avoid unnecessary conflicts.
• Responsibility: Report vulnerabilities and avoid using the Services for spam or commercial activities. Do not share or trade Account details.
• Team Play: Avoid disturbing gameplay, cheating, or exploiting game mechanics.
• Discretion: Do not reveal personal information or share inappropriate content.

Violations of this Code of Conduct may result in actions against your Account, including suspension or termination. We may notify law enforcement for serious breaches involving threats or illegal activities.

05 USER INFORMATION AND USER GENERATED CONTENT

5.1 User Information
We may allow you to share information related to your presence on PlayGround Academy, including your name, profile, friends list, communications, activities, gameplay, purchases, and content viewed (“User Information”). You authorize us to use, distribute, copy, display, and publish your User Information without payment.

5.2 User Generated Content
We may allow you to create, post, or transmit content such as text, messages, comments, screenshots, pictures, videos, and other materials (“UGC”). By using this functionality, you grant PlayGround a royalty-free, perpetual, global license to use, distribute, copy, modify, display, and publish your UGC.

5.3 Content Removal
We reserve the right to suppress, block, hide, remove, or delete any User Information or UGC at our discretion and report illegal content to authorities.

06 CONTENT LICENSE AND RESTRICTION

6.1 Intellectual Property Rights
All intellectual property rights in our Content, including software, data, services, and other content, belong to PlayGround, its affiliates, and licensors. Use of terms like "own," "purchase," "sell," etc., does not imply any transfer of ownership.

6.2 License Grant
Content provided through the Services is licensed on a non-exclusive, revocable basis for personal, private, non-commercial use.

6.3 Prohibited Actions
You may not sell, rent, lease, loan, sublicense, modify, reverse engineer, decompile, or disassemble any Content.

6.4 Reproduction and Transfer
You may not reproduce or transfer Content for resale, public performance, distribution, or broadcast.

6.5 Derivative Works
You may not create derivative works from the Content.

6.6 Security Measures
You may not bypass, disable, or circumvent security measures in the Services.

6.7 Automated Methods
Using automated methods such as bots or scripts to interact with PlayGround Content is prohibited.

6.8 Compliance
Your limited license is conditioned on compliance with this Agreement and applicable laws.

07 VIRTUAL WALLET

7.1 Virtual Wallet
Your Account includes a virtual wallet for storing funds from an external payment method.

7.2 Wallet Funds
Wallet funds have no value outside PlayGround and can only be used for purchases through PlayGround Services. Funds added to your wallet are non-refundable and non-transferable, except as required by law.

08 ACCOUNT TERMINATION, SUSPENSION, AND OTHER ACTIONS

8.1 Inactive Accounts
Accounts with no activity for six (6) months are considered inactive. PlayGround will assess a monthly dormancy fee on inactive accounts until reactivation.

8.2 Account Termination by You
You may terminate your Account at any time by contacting support.

8.3 Suspension or Termination by PlayGround
We may suspend or terminate Accounts for violations of this Agreement or to protect our users and interests.

8.4 Consequences of Termination
After termination, you will not be able to access PlayGround’s Services, and any associated data or virtual items will be lost.

8.5 Remedial Actions
If you violate this Agreement, we may take actions to remedy the violation and protect PlayGround’s interests, including removal of content, disabling access, and legal actions.

09 BINDING INDIVIDUAL ARBITRATION

9.1 Purpose
"Dispute" refers to any disagreement between you and PlayGround regarding the Services. If unresolved through negotiation, disputes will be resolved through arbitration.

9.2 Exclusions from Arbitration
Claims filed in small claims court are not subject to arbitration.

9.3 Opt-Out Rights
You may opt-out of arbitration and class action waiver within 30 days of accepting this Agreement.

9.4 Notice of Dispute
To resolve disputes informally, you must notify PlayGround’s legal department in writing.

9.5 Class Action Waiver
Arbitration will be conducted individually, not as a class or representative action.

9.6 Initiation of Arbitration
Arbitration may be initiated with the AAA or JAMS.

9.7 Arbitration Procedures
The Federal Arbitration Act governs the arbitrability of disputes. For claims under $75,000, the AAA’s Supplementary Procedures for Consumer-Related Disputes apply.

9.8 Arbitration Location
Arbitration may be initiated in  Singapore or your residence county.

9.9 Severability
If any part of this arbitration agreement is found unenforceable, the remainder will remain in effect.

9.10 Continuation
This arbitration section survives termination of this Agreement or Services.

10 GOVERNING LAW AND JURISDICTION

The laws of Singapore govern this Agreement and any disputes. Disputes not subject to arbitration may be brought in Singapore courts.

11 GENERAL LEGAL

11.1 Modifications
We may modify this Agreement at any time. Material changes will be communicated to you. Continued use of the Services signifies acceptance of changes.

11.2 Successors and Assigns
This Agreement benefits the parties and their successors. We may assign our rights and obligations to affiliates.

11.3 Severability
If any provision is found illegal or unenforceable, the remainder will remain in effect.

12 WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY

12.1 No Warranty
The Services and Content are provided "AS IS" and "AS AVAILABLE". No warranties are given regarding quality, functionality, availability, or performance. We may change, add, or remove features at any time. Liability for dissatisfaction with the Services is limited to direct damages, not exceeding unused wallet funds. We exclude liability for data loss, software or hardware damage, and other direct or indirect damages.

12.2 Internet Access
You are responsible for internet access and associated third-party fees.
